THE COMMERCIAL MODEL
A Defined Four-Stage Model.
1in7 is not a conventional startup building toward an uncertain distribution strategy.
It is a venture studio with a defined commercialisation model — originating concepts, validating them commercially, and bringing scaled institutional partners in to drive deployment. The team already has the relationships. The model already has the logic.
Stage 1 — Now
Origination & Packaging
Sean Rafter and the Core Collective originate the concept, build the commercial logic, and develop MindArchitect to a credible proof of concept within private sector schools. This is the hardest part — taking an idea from nothing to something an institutional partner would want access to. It requires founder authenticity, domain expertise, and the kind of lived experience that cannot be hired or acquired.
This Raise funds Stage One entirely.
Stage 2 — Parallel
Institutional Engagement
Farzad Pezeshkpour, Robin Stevens, and Mark Abel open conversations with target institutional JV partners — major technology and education operators with the infrastructure and distribution to scale MindArchitect beyond what an early-stage company could achieve independently. The team has direct, peer-level access. Distribution is not a post-raise problem. It is a pre-existing network asset being activated in parallel with product development.
No additional capital required at this stage.
Stage 3 — Series A
JV Structuring
A lead institutional JV partner is identified and heads of terms agreed before or alongside the Series A raise. The partner brings scaled distribution, infrastructure, and market credibility. 1in7 retains all intellectual property at TopCo level. The JV vehicle is structured to protect the interests of early ASA investors and reward the founding team for the origination work that created the opportunity.
Early ASA investors convert to equity at this point — at the 20% discount or £3M cap, whichever is more favourable.
Stage 4 — Post Series A
Scale & Repeat
MindArchitect scales through the institutional JV partner across the private sector and progressively into the state sector through Parent Mastermind. The originate-validate-JV model is then applied to the next SPV, with the same disciplined sequence. 1in7 becomes a venture studio with a repeatable, proven commercialisation model: originating the ideas that scaled partners cannot conceive internally, and packaging them in a form that institutional capital can deploy at scale.
The better the model works on MindArchitect, the more valuable every subsequent SPV becomes.
